At best I'd guess this could be classified as a 'grey import'.
If you wanted to be sure these are legitimate products I suspect a call to
the counterfeit/fraud team at the manufacturer would reveal all.
PS: by what channel was this offer communicated? if it was spam then you
already know what the chances of it being legit are.

same $99 ?
Then reflect on how much pleasure said tea bags and hob nobs will
provide you with, compared to a dodgy CD.
Ponder over how much happier you should be not having to trudge off to
the library seeking a book to substitute the manual you haven't got,
but need.

You could always call up Macromedia and find out if it legit... (That
companies can resell OEM software that is.)

I receive these spams all the time in my mail, people claim to have
discounts and sell Photoshop for $49, or Windows for $99.
Don't you dare giving your credit card number to these criminals.

Here's the response I got back from Macromedia: "there is an active
investigation on these guys." Now what exactly does that mean, I don't
know?! How long would it take for a company the size of Macromedia to do an
"investigation"? If they are in Macromedia's gun sights, and the web page
is still up and they are still doing business, then maybe they are legit.
Macromedia should have said, don't buy it, it's fake, it's a scam, it's
illegal or whatever. I'm totally unsatisfied with that answer.

It'll work. It's the "OEM" version and you'll find a manual in pdf
format on the disc.
The distributor who bought the software from Macromedia violated the
terms of the agreement they signed when they sold it to whoever is
behind the web site, but as a practical matter, that will have no impact
on you. You will be able to register the product, download updates and
pay the upgrade price for future versions.
In the unlikely event that you weren't able to register, print a copy of
the screen that rejects your registration, a copy of the terms on the
web site that promises you can register, pack up the software and return
it to the shipper and make sure to use tracking. That will be enough
proof to insure that your credit card issues a chargeback even if the
shipper refuses to accept your package and it comes back to you.
There is no legal problem with buying this software, but of course for
some people there are still moral issues involved.
That reminds me of a very old Jewish joke; When asked why he thought God
had created Gentiles, a Jewish businessman joked, "Well, somebody has to
pay retail."

Macromedia's response tells you everything you need to know. Why would
they launch an investigation if it was legit?
And Why does buyusa.com clearly state:

Sounds like a cracked copy to me. The genuine version would provide
tech support.

They are "investigating" where the hole is in their distribution chain.
They can't shut down that web site for reselling OEM software because
that web site is buying legit OEM copies from someone Macromedia sells
to.

Just for your info about these OEM dealers.
I have brought from this outfit

the software is cheap OEM (no manual) everything worked as far as
registering the software. And received the software in a couple of days.
The microsoft software had the halograph and takes updates with no
problem. I pay via paypal so there is a guarantee there of not losing my
money.
I have been very satisfied with the price and service and third party
books, if you need really need some information on how to use the
software, tend to be better than the manual that come with software.

It's not a legally licensed copy if you bought an OEM version that
wasn't sold with a new computer, and Microsoft can legally (and will)
pursue you in court. They can pursue the company that sold the stuff too.

with your hardware.

Oh please. Microsoft and the other software companies know who these
vendors are and they are not even shutting them down. They are not going
to go after end-users just for that
I don't doubt that if one is subjected to a software audit for some
other reason and that sort of thing is uncovered it'll be added to
whatever else they find, but otherwise there is virtually no risk to the
end-user.

I beg to differ. In fact, a big PC vendor that I used to (unfortunately)
deal with got nailed for big bucks in court because they were putting
improperly-licensed (perhaps unlicensed) OEM copies of Windows on their
customers' computers.

Yes, that happens all the time to companies who violate the distribution
agreement they've signed with the software companies.
The OP was about a company ("X") who buys OEM copies from other
companies ("Y") who, by reselling the software, are violating the
distribution agreement they signed. Company "X" is not in any danger and
the people they sell to aren't in any danger either.
