Hey I need help creating a Pop Up box in Flash...

I want to be able to click on a "privacy policy" button and then a box/window
appears.

Any code I need or suggestions would help.

Make another layer in your button. Put the pop-up box in that layer in the frame that says "down".

You can position the pop-up box wherever you'd like.
