Can't preserve layers when converting from Illustrator to Photoshop

| I have Photoshop and Illustrator CS2.
I am trying to convert a 41 layer Illustrator document into Photoshop while preserving the layers. Here's what I did:
I clicked on export to .PSD.
I chose RGB.
I chose a DPI of 300.
I clicked on write layers.
I have tried it with and without "Preserving Text Editability" and "Maximum Editability". I don't really need to be able to edit it anymore.
It converts very quickly. However, it tells me that it won't be able to preserve all of the layers. When I open it in Photoshop, all but 3 layers have been flattened.
Any ideas?
I really appreciate any help you can give me.

| One more thing:
I am not using any blending modes or any kind. The layers are very straightforward. No opacity or anything.

How about effects? Are you using any effects?

| Yes, a few of the layers are using one of the artistic presets effects. However, even some of the text that lays on top of those effects layers aren't coming through. The text has no formatting at all.
Also, there are no sub-layers.

There won't be. Photoshop export will attempt to preserve layer, but
what is "in the layers" will be flattened with the exception of text
which should create a text layer in the Photoshop document.
